Please read and accept our Terms of Service before registering:
1. Non-Investment Disclaimer
North Blue Tokens (“the Tokens”) are not an investment, security, or financial instrument. The Tokens do not represent ownership, equity, or any stake in North Blue Nutrients LLC, its assets, or operations. The Tokens are solely intended for use as a prepaid voucher to redeem eligible products and services. There is no expectation of profit, appreciation in value, or any form of financial return associated with holding or using the Tokens.
2. Purpose and Usage
Important Note: North Blue Tokens have yet to be introduced. For the time being, we accept Zelle , Cashapp, and Venmo as payment methods for purchases of North Blue Nutrients products, including our active ferments. Once North Blue Tokens are launched, they will be available as an additional payment and redemption option.
North Blue Tokens are designed to facilitate the following:
- Online Merchandise & Active Ferments: Redeemable for North Blue Nutrients-branded merchandise and our line of active ferments, available on our website. Our active ferments are living, biologically active nutrient solutions designed to promote plant health and robust growth. These products harness beneficial microbes and natural fermentation processes to deliver vital nutrients and improve soil vitality.
- In-State Retailer Discounts: If you are 21 years or older and located in State Name, the Tokens can be used at select retailers to receive discounts on North Blue Nutrients products or access exclusive offerings.
- User Trading: Users may trade or swap their Tokens with other users in compliance with ERC-20 standards on decentralized exchanges (DEXs). This trading capability supports a free market approach within the bounds of applicable laws.
- Exchange Rate Changes: The exchange rate for North Blue Tokens when redeeming for merchandise, active ferments, or product discounts can be changed at any time at the discretion of North Blue Nutrients LLC. Users will be notified of such changes through appropriate channels.
- NFTs: Non-Fungible Tokens (NFTs) associated with North Blue Nutrients can be traded or used for other rewards by collecting them. NFTs are available exclusively by meeting us at an event or purchasing a specific product that includes a VDrop NFT type.
The Tokens cannot be exchanged for cash, fiat currency, or other cryptocurrencies and have no intrinsic monetary value. Any attempt to use the Tokens outside their intended purpose is strictly prohibited.
3. Terms and Conditions
By acquiring or using North Blue Tokens, you agree to the following terms:
- Eligibility: Use at retailers is restricted to individuals aged 21+ in compliance with local laws. Proof of age may be required at the point of redemption.
- Redemption: Tokens may only be redeemed for eligible products/services as specified above, including our active ferment nutrient solutions.
- Expiration: Tokens may have an expiration date; please refer to the specific terms provided at the time of issuance. Expired Tokens cannot be redeemed or refunded.
- Refund Policy: Tokens are non-refundable and non-transferable unless explicitly stated otherwise in writing by North Blue Nutrients LLC.
4. Anti-Money Laundering (AML) and Know Your Customer (KYC) Compliance
To comply with applicable laws and regulations, we reserve the right to implement AML and KYC procedures for the issuance, redemption, or transfer of Tokens. However, since retailers are already responsible for verifying customer identities at the point of sale, our platform does not require additional KYC verification for users. The Tokens are not considered a security; therefore, the need for extensive KYC measures is limited. We may still conduct basic identity verification in certain situations to ensure compliance with applicable laws, but this will not be a standard requirement for all users.
5. Regulatory Compliance
North Blue Tokens are not intended to function as a regulated financial instrument or currency. We operate in compliance with applicable laws regarding prepaid vouchers and gift cards but cannot guarantee compliance with laws outside our operational jurisdiction. By acquiring the Tokens, you acknowledge that it is your responsibility to ensure compliance with local laws if you reside outside our jurisdiction.
6. No Speculative Value
The Tokens are not designed nor marketed for speculative purposes. They do not hold any inherent value beyond their utility as a means of redeeming goods/services from North Blue Nutrients LLC. Any perceived value beyond their utility is purely speculative and at the sole discretion of the user.
7. Limitation of Liability
North Blue Nutrients LLC shall not be held liable for any loss, damages, or claims arising from misuse of the Tokens, third-party actions, or circumstances beyond our control (e.g., technical failures, regulatory changes). By using the Tokens, you agree to indemnify North Blue Nutrients LLC against any such claims.
8. Changes to Terms
North Blue Nutrients LLC reserves the right to modify these terms at any time without prior notice. Any changes will be effective immediately upon posting on our website. Continued use of the Tokens after such changes constitutes acceptance of the revised terms.
